Terms & Conditions
Last Updated & Effective: October 19, 2026 · Version 2.2
Docly is an administrative software technology platform and NOT a healthcare provider. Docly does not provide medical advice, diagnosis, triage, or clinical treatment. The Platform is solely an administrative tool for managing clinic calendars, appointment bookings, and patient communication. In the event of a medical emergency, patients must immediately dial emergency services (e.g., 911, 999, or 112) or proceed to the nearest emergency room.
1. Acceptance of Terms
By creating an account, accessing, or using the Docly platform (the “Service”), provided by Moonaria Healthcare Platform Inc. (“Docly”, “we”, “our”), you agree to be legally bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
2. Description of the Service
Docly provides an autonomous SaaS platform that enables medical, dental, therapy, and healthcare clinics to automate patient appointment scheduling, calendar synchronization, and automated reminder dispatch across WhatsApp, SMS, and email.
3. Clinic Obligations & Patient Consent
As a clinic or healthcare practitioner using Docly, you agree and certify that:
- You possess all necessary medical licenses, regulatory permits, and insurance required to practice healthcare in your jurisdiction.
- You are solely responsible for obtaining all legally required consents from your patients before transmitting appointment communications, intake questionnaires, or reminders via WhatsApp, SMS, or email.
- You will maintain accurate and up-to-date consultation pricing, cancellation terms, and working hours within the Docly settings.
- You will supervise all AI receptionist interactions and promptly respond to handoff alerts when clinical judgment is warranted.
4. Account Creation & Access
- Account Creation: Docly accounts are not available through public self-registration. Clinics request access through our contact form, and our team creates the clinic account and sends the account owner an invitation to set a password.
- No Fees: Docly does not charge subscription fees. Every clinic account has access to all platform features with no plan tiers or usage limits.
5. Third-Party Integrations
Docly integrates with external third-party platforms including Meta Cloud API (WhatsApp & Instagram), Google Calendar API, and Zoom. Your use of these integrations is subject to the respective terms and acceptable use policies of those third-party providers. Docly is not liable for disruptions caused by third-party API downtimes or Meta WhatsApp policy suspensions resulting from clinic spamming.
6. Acceptable Use Policy
You agree not to use Docly to:
- Send unsolicited marketing messages, bulk spam, or unauthorized promotional content to patients.
- Transmit unlawful, defamatory, deceptive, or harmful medical information.
- Interfere with, compromise the integrity of, or reverse-engineer any component of the Platform.
- Violate patient privacy laws or misrepresent medical qualifications or credentials.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Docly and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, clinic revenues, or goodwill arising out of or related to your use of the Service. In no event shall Docly’s aggregate liability exceed the total amount paid by the Clinic to Docly in the twelve (12) months preceding the claim.
8. Service Availability & SLA
We strive to maintain 99.9% platform availability. However, the Service is provided on an “as is” and “as available” basis. Docly does not warrant that the Service will be uninterrupted, error-free, or completely immune to network downtime. Scheduled maintenance is announced in advance through dashboard alerts.
9. Termination
We reserve the right to suspend or terminate accounts that violate these Terms or misuse patient communication channels. Upon termination, clinics may request a 30-day export window to download their historical appointment data.
10. Governing Law & Contact
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
